Members Code of Ethics & Usage Agreement
To maintain the integrity and ideals of the Women’s ECommerce Association International™, (hereinafter referred to as Women in Ecommerce), we expect all members to abide by the following Code of Ethics and Usage Agreement.
As a Women in Ecommerce member I agree to the following:
- That all my dealings with Women in Ecommerce and its members will be in a spirit of cooperation, and respect for each individual’s desire for success.
- To present my company, my product and myself with honesty and integrity.
- To uphold the ideals of the Women in Ecommerce for the good of the Association, the betterment of the industry, and the benefit of my own success. Furthermore, members, sponsors, advertisers and visitors (hereinafter referred to as User[s]) must agree to the following Usage Agreement:
Women in Ecommerce provides Users with access to many on-line resources, including, an internal search engine, educational tools, products, forums, and referral programs (hereinafter referred to as our Services) through its website and network of sponsors, advertisers and members. Services are provided “AS IS,” and Women in Ecommerce assumes no responsibility for the timeliness, deletion, miss-delivery or failure to store any user communications or personalized settings.
Use of Services by a User constitutes an implicit agreement by such User to be bound by all of the terms and conditions of this Code of Ethics and Usage Agreement, as set forth below. Each User is required to agree to these terms and conditions to use our Services. Users and other parties are separately bound by the terms of their separate agreements with Women in Ecommerce. In the event of a conflict between the applicable terms of those agreements and the Code of Ethics and Usage Agreement, the separate agreement(s) shall prevail.
User acknowledges that the software contained in our Services, including any files, images incorporated in or generated by the software (collectively the”Software”) as well as the data compiled in our Services (“Information”) is protected by copyright law. Any exploitation, duplication, reproduction, copy, sale, publication or redistribution of the Information or Software is prohibited unless otherwise indicated.
Women in Ecommerce reserves the right to alter or delete material from our Services, in its sole and absolute discretion, at any time, and may, at any time, revise the terms of this Code of Ethics and Usage Agreement and the conditions applicable to use of our Services by posting such changes on the Women in Ecommerce Web site. Such changes, additions or deletions shall be effective immediately upon posting or when any other reasonable method of providing notice is given. Users are bound by any such revision and should therefore periodically visit this page to review those current terms of this Code of Ethics & Usage Agreement. Any use of our Services after any such revisions shall be deemed to constitute acceptance of such changes, additions or deletions.
Women in Ecommerce makes no warranties, expressed or implied, as to the content contained in our Services, or to the accuracy or reliability of any information or statements contained therein. All statements, advice and opinions made by any third party link provided by Women in Ecommerce are those of the provider thereof, and Women in Ecommerce neither endorses nor shall be held responsible for the accuracy, reliability or usefulness for any particular purpose.
User agrees that any information provided by such User will be accurate, truthful and not misleading. Each User agrees not to provide information intended to represent herself or himself as some other person. Each User must maintain and promptly update his/her personal information to keep it true, accurate, current, and complete. If User provides any information that is untrue, inaccurate, not current or incomplete, or Women in Ecommerce has reasonable grounds to suspect such information is untrue, inaccurate, not current, or incomplete, the Women in Ecommerce has the right to suspend or terminate User’s account and refuse any and all current or future use of our Services.
User is fully responsible for all activities that occur under the User’s password or account and agrees to immediately notify Women in Ecommerce of any unauthorized use of her or his password or any other breach of security. Women in Ecommerce will not be liable for any loss or damage arising from User’s failure to comply with this clause.
User agrees to comply with all global/international regulations and rules regarding online conduct and acceptable content. Specifically, User agrees to comply with all applicable laws regarding the transmission of technical data exported from the country in which you reside.
User acknowledges that Women in Ecommerce reserves the right, in its sole and absolute discretion and for any reason, to delete or remove any information, including without limitation, information which Women in Ecommerce determines, to be offensive, racist, lewd, profane, obscene, rude, defamatory, abusive or otherwise objectionable, provided by the User for inclusion in our Services.
User acknowledges that Women in Ecommerce shall have the right, for any or no reason, to restrict or terminate such User’s access to our Services, due to any violations of this Code of Ethics and Usage Agreement.
Women in Ecommerce provides our Services for information purposes and for the general interest of Users only. Each User acknowledges that neither Women in Ecommerce nor any Partner nor any person involved in creating, producing or delivering Services shall have any liability for any direct, indirect, incidental, special, punitive or consequential damages or any other damages arising out of or relating to, in any way, any violation by any User of the terms of this Code of Ethics and Usage Agreement; the use of, outcome of any use of, availability of, reliance upon or inability to use our Services; the suitability of our Services for all Users, including children, or; any breach of any warranty.
User hereby agrees to defend, indemnify and hold harmless Women in Ecommerce and each applicable Partner, their officers, directors, employees, agents and licensees from and against any and all liability including expenses relating thereto, such as reasonable attorneys’ fees, relating to or arising from such User’s violation of the terms of this Code of Ethics and Usage Agreement or from such User’s misuse or abuse of our Services.
User acknowledges that Women in Ecommerce makes no representations whatsoever about any other Web site which Users may access through our Services. Women in Ecommerce has no control over the content on that Web site, and therefore no liability for any content. In addition, a link to an outside Web site does not mean that Women in Ecommerce accepts any responsibility for the content or the use of such Web site, nor endorses same. It is up to each User to take precautions to ensure that anything selected for personal use is free of such items as offensive content, viruses, worms and any other items of a destructive nature.
User acknowledges that the obligations of Women in Ecommerce and each applicable Partner are solely corporate obligations. No Member, Affiliate, Subscriber, Partner, Stockholder, Director, Officer, Employee, or Consultant of Women in Ecommerce shall be subject to any personal liability whatsoever to a User, nor will any such claim be asserted (directly, derivatively or otherwise) by or on behalf of any User or any successors and assigns of any User.
User acknowledges that the sole remedy for any damages caused or allegedly caused by any failure of performance, error, omission, interruption, defect, delay in operation or transmission, or other cause associated with our Services, shall be to terminate such User’s membership, if applicable, remove any Information provided by User to Women in Ecommerce, and discontinue further use of our Services. In no event shall Women in Ecommerce’s total liability to User for all damages, losses and causes of action exceed the amount paid, if any, by a User for our Services.
Women in Ecommerce requires that those that visit our Web site respect the copyright privileges of others. Women in Ecommerce may, in appropriate circumstances and at its discretion, remove or disable access to material on its Web site that infringes upon the intellectual property rights of others. In addition, Women in Ecommerce may also remove or disable links or references to an on-line location that contains infringing material or infringing activity.
Women in Ecommerce strongly recommends all Users utilize and regularly update virus protection software.
Women in Ecommerce reserves the right to charge a $30.00 (US currency) service fee for any check that is returned due to insufficient or unavailable funds.
